Microsoft Corporation appointed Satya Nadella, the company’s chief executive officer, as its next chairman on Wednesday, June 16, 2021. John W. Thompson, the current Microsoft board chair, will remain on the board as lead independent director, a position he held from 2012 to 2014. From 2013 through 2014, Thompson led Microsoft’s hunt for a new CEO.
According to a company statement, “In this (chair) role, Nadella will lead the work to set the agenda for the board, leveraging his deep understanding of the business to elevate the right strategic opportunities and identify key risks and mitigation approaches for the board’s review. As a lead independent director, Thompson will retain significant authority including providing input on behalf of the independent directors on board agendas, calling meetings of the independent directors, setting agendas for executive sessions, and leading performance evaluations of the CEO.”
